Overview

Emily A. Poler, an attorney who advises founders in disputes, including disputes over the ownership of documentary films, will discuss legal considerations that can help set your collaboration on the right track while providing options for when things don't go quite as planned. 

This Essentials Workshop will look at: 

  • The different types of entities (partnerships, limited liability companies, and corporations, etc.) and the documents governing them; 

  • Identifying issues business owners need to consider in drafting governing documents;  

  • Understanding the importance of properly drafted documents; and

  • What happens to intellectual property when creators form an entity.

Emily Poler is an experienced commercial litigator and a trusted legal advisor. She represents organizations in a range of commercial disputes with a particular focus on intellectual property, trade secrets, technology, and art. She is admitted to practice before the state courts in New York and Pennsylvania, as well as numerous federal courts. She also regularly represents parties in arbitration and mediation. Emily is a graduate of Oberlin College and New York University School of Law. She began her career at a premier Manhattan law firm -- Cahill Gordon & Reindel -- before moving to a litigation boutique. During her 12 years at that firm, she represented a wide range of clients including technology companies, investment banks, appraisers, not-for-profit organizations, unions, and high-net-worth individuals in a wide range of sophisticated, high-stakes matters. In 2017 she founded Poler Legal LLC. Since founding her own firm, Emily has successfully represented parties in disputes involving issues such as theft of trade secrets, trademark infringement, breach of contract for the sale of art, and claims of defamation between crypto-currency industry entities. She generally approaches litigation by helping her clients identify their litigation goals and forcefully advocating for her clients with professionalism and grace.
